General Terms and Conditions for iWeekend
REGULATORY BASIS FOR PARTICIPATION IN “iWeekend”
iWeekend, a non-profit organization established in Plaza Can Suris s/n, Cornella de Llobregat, 08940 Barcelona, with fiscal identity number NIF G-64.786.296, provides the regulatory basis (hereinafter the “Terms”) for participation in the various events organized by iWeekend .
1 .- OBJECT
1.1. These Terms set forth the terms and conditions that govern the participation in iWeekend events, an experience that brings together Internet professionals, entrepreneurs and the world of software during a weekend for the purpose of: (i) electing two ideas related to Internet business (hereinafter, the “Projects”), and (ii) collectively develop the prototype of the two projects that have been declared winners.
1.2. These conditions relate to participation in individual events.
2 .- PARTICIPATION
2.1. All those who wish to participate in an iWeekend may do so, provided that: (i) they are minimum 18 years of age, (ii) have previously registered, completing all the requirements to be included and / or derived from the registration forms provided to the effect, (iii) accept fully, unconditionally and irrevocably the terms and conditions of these Terms and (iv) have been selected by the organizers of the corresponding event.
2.2. Pre-registration for the event does not guarantee participation in it.
3 .- PRE-REGISTRATION
3.1. The pre-registrations in each of the relevant events must occur within the dates specified by the organization to that effect, which may be closed when they reach the maximum number of registered participants determined by the organization and considered ideal for the event, as deemed fit by it. These pre-registrations will be formalized telematically, completing a form available through the event website within the domain http://iweekend.org.
3.2. The organizers of each event will select from amongst all pre-registered candidates those who, according to their judgment, are most appropriate to participate in it. The decision in this regard will be final and binding on all parties and no correspondence/dispute will be entertained in this regard..
3.3. Organizers will communicate their decision to the candidates selected to participate in the event. Also, this information will be published on the website of iWeekend. As such, it is to be clearly understood that pre-registered candidates who do not appear in the published list of participants have not been selected to participate in the event.
3.4. Nonetheless, submitting the pre-registration application is equivalent to acceptance by the candidate, that iWeekend is authorized to treat, communicate and publish their name and, where appropriate, the name of the businesses or projects that the candidate has provided in the registration form, both in his capacity as a pre-registered candidate and as a participant confirmed by the organization.
3.5. If an iWeekend participation involves the payment of an amount, that fact shall be communicated in the call made through the website.
3.6. Candidates selected to participate in the event should confirm their participation by paying the indicated amount. If the candidate has not settled the payment within FIVE (5) business days of the public and/or private communication of his selection, the organization may assign his or her place to another pre-registered candidate.
3.7. Confirmed participants should print the payment receipt of registration and be able to show it along with their identity card, passport, or other legal document of identification, at the time of accreditation of the corresponding event. Similarly, at the time of registration, the participant must ratify in writing the acceptance of these terms. The organization may deny access and participation to people who do not formally prove their status of confirmed participant, and the payment of the stipulated sum or express acceptance of these terms.
3.8. The failure to attend the event, for whatever reason, will mean the loss of status as a participant, and the amount paid for the concept shall not be refunded to selected participants under any circumstances.
3.9. Registration will be personal and non transferable and may only apply to the iWeekend event that the participant is registered for.
OPERATION OF THE EVENT
4 .- Phases
iWeekend events are divided into two consecutive phases: (i) Election of the winning projects and (ii) execution of the projects.
5 .- Election of Project
5.1. All participants of iWeekend may submit an idea or project to be voted by the other participants. To do so, they shall complete a form and enter the details of the project in the online system provided by iWeekend. Data access to such facilities shall be provided by the organizers prior to the start of the presentations. The deadline for submitting an idea or a project will end twenty four (24) hours before the scheduled time for the start of the event.
5.2. Before beginning the presentations, the organizers will notify the participants of the name and identification of all the ideas and projects that will be presented, and the number of winners of that edition.
5.3. Ideas or projects whose presentation, performance or development is likely to break the law and / or violate any rights of a third party, or can promote discrimination or xenophobia, will not be admitted.
5.4. The choice of the winning projects in each iWeekend will be held democratically, by means of voting by all participants. Event organizers will establish successive rounds of voting from which a decreasing number of projects will be elected until reaching the established number of winning projects.
5.5. Participants will have the time set by the organization in each round, to present their project. The organization shall establish the exact time available to the participant depending on the number of projects presenting their candidacy, and ensure compliance with the time of the presentations.
5.6. In case of a tie, the organizers may ask for a repeat vote until the pre-established number of projects are elected as winners.
5.7. In any case, the first day of iWeekend will not be finished until the participants have selected the winning projects. This decision may not be postponed to a later time or date.
6 .- Project Implementation
6.1. Once the winning projects are elected, participants will select the project they wish to participate in, and select the working group within this project, in which their contribution may be more valuable.
6.2. The organizers are entitled to take the necessary measures to offset the distribution of participants among the winning projects to achieve optimum success of the event and equitable distribution of finite resources and talent. This may include, where appropriate, the reallocation of project participants and groups other than those initially selected.
6.3. The participant whose idea had been selected as winner in the previous phase has the status of leader of the project. This status confers the ability to decide on the business focus of the project. Notwithstanding the foregoing, all executive decisions should be decided between the team members by a vote that will seek consensus among the different positions. In case of a tie, the project leader will have a casting vote.
INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS OF THE PROJECT AND RIGHTS OF iWeekend
7. Existing works and rights of others
7.1. The execution of the winning projects may not utilize content, distinctive signs or any work subject to industrial or intellectual property rights that correspond to third parties who have not expressly consented to its use and/or exploitation in the event, by appropriate authorization document, assignment, license or equivalent.
7.2. iWeekend will not be responsible for breaches of rights of third parties in which a project may incur as a result of the implementation developed in one of their events. The project leader will be accountable to iWeekend and other participants for any harm that may arise as a result of a breach of this rule, and agrees to hold harmless and indemnify the organizers and the association against any claims.
8 .- Industrial and Intellectual Property of the Project
8.1. The project leader will own all intellectual property rights and industrial inputs from all participants who have contributed their to the project.
8.2. In order to achieve the above purpose, entrants hereby assign all rights, if any, corresponding to their contribution to the project, to the leader of it, all without prejudice to and in supersession of the agreements that may pertain to this aspect that the parties may enter into, either during the event or after the event has ended. This assignment is subject to the condition in Clause 8.3 below but is otherwise unconditional, worldwide, free and applicable for the maximum period allowed by law. In order to give effect to such assignment, the participants are obliged to sign any documents that are reasonably necessary to achieve the assignment of the intellectual property rights as described hereinabove. .
8.3. The project leader will have a period of three months from the end of the event to put into operation the business associated with that project, that is, the project leader is required to (i) launch a fully operational version of the website that includes all or part of the agreed processes and operations during the event, and (ii) professionally constitute the project through the formation of a legal entity appropriate for the project.
8.4. After the period described in the preceding paragraph, if the leader of the project has not been able to put the business into operation, iWeekend may require the project leader to put it in place within fifteen days after receipt of the request from iWeekend. Failure to do so may result in the assignment described in paragraph 8.2. to lapse.
9 .- Recognition of the rights of iWeekend
9.1 iWeekend is a non-profit organization that promotes entrepreneurship and new business creation. To contribute to these ends, and in return for its work in organization and coordination, the project leader pledges to give a five percent (5%) of the equity shares in the company or companies created for the operation of the project.
9.2. This pledge will be implemented through a transfer of shares or ordinary shares to be carried out within ten (10) days of incorporation or, where appropriate, the completion of the event, if the company was already in operation at the time of concluding the event.
9.3. If the entrepreneur decides to operate the business under a non-corporate identity (as non profit organization, trust, , cooperative or any other manner permitted in law), iWeekend will have the right to receive a royalty equal to 5% of the business’s annual profits, after taxes relating to the project in question.
9.4. This contractual obligation shall apply to the company or the structure created by any iWeekend participant operating one of the winning projects of one of its events, even if he/she is not holding the status of the project leader.
10 .- Image rights
10.1. The leader of the winning project consents that his image and personal data (name, place of origin and details of professional and/or personal experience) be advertised in any media by iWeekend.
10.2. In the same way, all participants in each of the events accept that their image and, if they wish to manifest, their personal data are published and / or relayed through various communication channels of iWeekend that comprise of, by way of example but not limited to, the website, retransmission, streaming, video editing and media, etc.
10.3 Participants also expressly agree that their identity be published on the website as a confirmed iWeekend participant in the corresponding iWeekend contest.
11 .- Event Cancellation
iWeekend reserves the right to cancel or modify the date for holding iWeekend events. In case of cancellation, it will offer to return the amount collected from participants who already have been charged, and who can not attend the new date scheduled for the event.
12 .- Resolution of disputes
The parties herein submit themselves to the exclusive jurisdiction of the Courts in New Delhi to the exclusion of all other Courts capable of exercising jurisdiction over any disputes between the parties.
13 .- Responsibility
iWeekend will not be responsible for any damage that a participant may suffer as a result of their participation in any iWeekend event. This exclusion shall include any theft or loss of property or personal items, which are the sole responsibility of the participants. The limit of liability, if any, on this ground of iWeekend towards each individual participant that may arise as a result of the conclusion of each iWeekend contest shall be the amount actually paid during registration by the participant, except in those cases where the law does not permit such a limit.
14 .- Protection of personal data
14.1. The personal data of participants in each of the contests of iWeekend will be incorporated into a database owned by iWeekend for the purpose of registration, organization and management of events and to provide information about other events or events organized by iWeekend in the future. By accepting these Terms, the entrant expressly consents and authorizes iWeekend to utilize their personal data for the above purposes and that such data be transferred to those partners or sponsors of iWeekend so that the entrant can receive awards, if any, that may be offered to participants.
14.2. The refusal to accept any of the conditions described in the preceding paragraph shall be communicated to iWeekend and may necessitate the cancellation of the registration application and, where appropriate, loss of status as a participant of the event.
15 .- Applicable law
These Terms are governed by and are to be construed in accordance with Indian law.
16 .- Acceptance
Simply registering and / or participate in an iWeekend event implies total acceptance, unconditional and irrevocable acceptance of these Terms.
